Terms Of Service

TERMS OF SERVICE

These Terms of Service (“Terms”) constitute a legally binding agreement between Agent 007, LLC, a Delaware limited liability company doing business as Agent (“Company,” “we,” “us,” or “our”), and you (“Client” or “you”).

By engaging our services, signing an agreement, submitting payment, or otherwise working with the Company, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Scope of Services

The Company provides recruiting, candidate sourcing, screening, and introduction services (the “Services”). The Company does not make hiring decisions and does not guarantee hiring outcomes, candidate performance, retention, or business results.

All hiring decisions remain solely the responsibility of the Client.

2. Fees & Payment

Fees for Services are set forth in a separate agreement, proposal, invoice, or payment page provided by the Company.

Unless expressly stated otherwise in writing:

  • All fees are earned upon candidate introduction or hire, as applicable

  • All fees are non-refundable

  • Payment obligations survive termination of the engagement

Failure to remit payment may result in suspension of Services and legal enforcement of amounts owed.

3. No Employment Relationship

Candidates introduced by the Company are not employees, agents, or representatives of the Company. The Company is not responsible for payroll, benefits, taxes, compliance, supervision, or performance of any hired candidate.

4. Replacement Policy

The Company offers a replacement-only guarantee in lieu of refunds.

Unless otherwise specified in writing:

  • The replacement window is one hundred eighty (180) days from the candidate’s start date

  • Refunds are not provided under any circumstances

  • Replacement eligibility requires the Client to remain current on all payment obligations

  • Replacement applies only to the same or substantially similar role

5. Client Responsibilities

The Client agrees to:

  • Provide accurate job requirements and timely feedback

  • Conduct independent interviews and due diligence

  • Comply with all applicable employment, labor, and tax laws

  • Make final hiring decisions at its sole discretion

The Company is not responsible for Client employment practices or compliance failures.

6. Non-Circumvention

The Client agrees not to directly or indirectly hire, engage, contract with, or otherwise utilize any candidate introduced by the Company outside of an active engagement without payment of the applicable placement fee.

This restriction applies for twelve (12) months from the date of candidate introduction, regardless of whether the hire occurs directly, indirectly, or through a third party.

7. Confidentiality

Each party agrees to keep confidential any non-public information received in connection with the Services and to use such information solely for purposes of evaluating or completing the engagement.

8. Limitation of Liability

To the maximum extent permitted by law:

  • The Company shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of revenue, profits, business opportunities, or goodwill

The Company’s total liability for any claim shall not exceed the total fees paid by the Client to the Company in the three (3) months preceding the event giving rise to the claim.

9. Indemnification

The Client agrees to indemnify, defend, and hold harmless the Company and its members, officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from:

  • The Client’s hiring decisions

  • Employment or labor law violations

  • Misuse of candidate information

  • The Client’s business operations or employment practices

10. Termination

Either party may terminate the engagement upon written notice, subject to any outstanding payment obligations.

All fees earned or accrued prior to termination remain due and payable.

11. Force Majeure

The Company shall not be liable for delays or failures caused by events beyond its reasonable control, including acts of God, labor disputes, government actions, or system outages.

12. SMS Text Messaging

Opting Out
If at any time you wish to stop receiving SMS messages from us, simply reply to the text message with “STOP.” You may receive a confirmation message confirming your opt-out.

Message and Data Rates
Message and data rates may apply to any SMS messages sent or received. Rates are determined by your mobile carrier and the specifics of your service plan.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

14. Entire Agreement

These Terms, together with any written agreements or proposals issued by the Company, constitute the entire agreement between the parties and supersede all prior discussions or understandings.

15. Amendments

The Company may update these Terms from time to time. Continued use of the Services constitutes acceptance of the updated Terms.
